1. Who we are and what these Terms cover

Lahtha (“the Platform”, “we”) is a digital marketplace operated by Manthomat Lahtha Company, Commercial Registration No. 7054367821, whose registered address is Building 3321, Abi Jafar Al Mansur Street, Al Yarmuk District, Riyadh 13251, Kingdom of Saudi Arabia (national short address RFYA3321, secondary number 7394) (“the Operator”), that connects customers planning events with independent service vendors, and provides planning tools including guest lists, digital invitations, and an AI planning assistant.

These Terms govern your access to and use of the Lahtha mobile applications and website (lahtha.com). By creating an account or using the Platform you agree to these Terms, our Privacy Policy, and our Refund & Cancellation Policy, which together form the agreement between you and us.

These Terms are published in fulfilment of the disclosure requirements imposed on the service provider under the E-Commerce Law and its Implementing Regulations.

2. Lahtha’s role: a facilitating platform

Lahtha is an intermediary platform. This means that the vendors listed on it do not belong to it and are not its employees, agents, or partners, and the service contract for any booking is concluded directly between the Customer and the Vendor.

The responsibilities of the Lahtha platform are limited to the following:

(a) collecting payments on behalf of the Vendor in its capacity as a limited-authority collection agent, and holding those amounts until completion of the service, or until an earlier release milestone under the vendor’s payout tier as described in the Refund & Cancellation Policy, subject to the provisions of the other policies;

(b) operating the Platform and enforcing its published rules, including listing standards, review controls, and account measures; and

(c) verifying the statutory documents submitted by the Vendor at registration (commercial registration, identity of the authorised representative, and value added tax registration where applicable). Such verification is limited to the documents submitted and does not constitute a guarantee, warranty, or undertaking by Lahtha as to the Vendor’s performance, the quality of its services, or its continued compliance.

The Lahtha platform does not provide hospitality, venue, photography, or other event services, and does not guarantee the performance of any Vendor beyond the remedies stated in these Terms and in the Refund & Cancellation Policy.

3. Eligibility and accounts

You must be at least 18 years old and legally capable of entering into contracts. Accounts are created with a Saudi mobile number verified by a one-time SMS code, together with verification of the email address registered on the account. Lahtha considers one-time password verification and email verification to be sufficient means of authentication at this stage.

Your number is your login identity and you are responsible for all activity carried out through it. You shall keep your device secure and notify us immediately of any unauthorised use. You must provide accurate information and keep it updated. We may suspend or close any account that breaches these Terms, applicable law, or platform safety.

4. Bookings and how the contract is formed

4.1 The contract between the Vendor and the Customer shall not be concluded until the full booking amount has been collected from the Customer and the Vendor has accepted the booking within forty-eight (48) hours.

4.2 If the Vendor declines the booking request, or fails to accept it within forty-eight (48) hours, the Customer shall be entitled to a full refund of the amount paid. The refunded amount shall be credited immediately to the Customer’s wallet within the Platform, and the Customer may either apply it to another booking or request its transfer to the original payment method, in which case the transfer shall be initiated within three (3) business days of the request and the funds shall typically appear within five (5) to fourteen (14) business days depending on the issuing bank. Wallet balances are governed by Clause 8; refunded amounts do not expire.

4.3 The capacity, date, and price of the booking are confirmed upon payment; however, the contract shall not be deemed concluded unless and until the Vendor has accepted the booking request.

5. Prices, fees, and value added tax

Prices are displayed in Saudi Riyals (SAR). The checkout total comprises the service prices of the Vendors only. Lahtha does not charge the Customer any platform service fee; Lahtha’s remuneration consists solely of a commission payable by the Vendor under the Vendor Agreement, and that commission is included within the price displayed to the Customer and is not added to it. Prices displayed to the Customer are inclusive of value added tax at the prevailing rate (currently 15%) where applicable, in accordance with the requirements of the Ministry of Commerce and the Zakat, Tax and Customs Authority.

The Vendor is the supplier of the service to the Customer and is responsible for issuing the tax invoice to the Customer in respect of its own supply; Lahtha issues a tax invoice to the Vendor in respect of its commission only. All pricing is computed by our systems at checkout, and obvious pricing errors may be corrected with a full refund of the affected amount.

6. Discount codes and promotional offers

6.1 Lahtha may from time to time make discount codes, promotional offers, or vouchers available. Each is subject to the specific conditions published with it, including validity period, eligible categories, minimum booking value, and any limit on use per account. The applicable discount is shown in the booking summary before you pay. Unless expressly stated otherwise, codes are single use, are not transferable, may not be combined with another code, and have no cash value.

6.2 A discount may be funded by Lahtha, by the vendor, by both together, or by an external promotional partner such as a card scheme, bank, or sponsor. The funding arrangement is a matter between Lahtha, the vendor, and the partner, and does not affect the price you pay or the service you receive. Where a discount is funded by an external promotional partner, the additional conditions of that partner apply and are published with the offer.

6.3 Where a booking made with a discount is cancelled or refunded, the refund is limited to the amount you actually paid. The discounted portion is not refunded to you in cash.

6.4 Lahtha may withdraw, suspend, or refuse a discount, and may cancel an affected booking with a full refund, where a code has been obtained or used in breach of its conditions, through duplicate accounts, or by any automated or fraudulent means.

7. Payment

Payments are processed through our licensed payment partner, Tap Payments, using the methods shown at checkout (cards, Apple Pay, and buy-now-pay-later where available). Lahtha appears as the merchant of record for collection purposes only, and the amounts collected on behalf of Vendors are held by Lahtha for the account of the relevant Vendor and do not form part of Lahtha’s own funds. Lahtha holds those amounts pending completion of each service.

All transactions use 3-D Secure authentication, and we never store your full card details. Once payment succeeds, the event details material to the bookings (date, capacity, services) are locked and may be changed only in accordance with Clause 10 and the Refund & Cancellation Policy. Payments and refunds shall be governed by the provisions set out in the Refund & Cancellation Policy, in accordance with the instructions of the Saudi Central Bank.

8. Your wallet

8.1 Amounts credited to your wallet are of three kinds: refunded amounts, goodwill credit granted by our support team, and promotional credit granted free of charge. Refunded amounts and goodwill credit are withdrawable; promotional credit is not withdrawable and has no cash value. Wallet balances are applied automatically to reduce the amount payable on your next booking, and are always consumed before any new payment is taken from your card. Promotional credit is consumed first; withdrawable credits are then consumed on a first-credited, first-used basis.

8.2 You may at any time request the transfer of any remaining withdrawable balance to the original payment method you paid with, and we will process that request in accordance with the Refund & Cancellation Policy.

8.3 Promotional credit remains valid for twelve (12) months from its date, and we will notify you in the App and by email before it expires. Refunded amounts and goodwill credit do not expire and remain available to you until used or transferred.

8.4 Where promotional credit remains unused at the end of its validity period and our notices have gone unanswered, it lapses without compensation, as it was granted free of charge; Lahtha may at its discretion reinstate lapsed promotional credit. Withdrawable balances are never forfeited and remain owed to you until used or transferred.

9. Cancellations, refunds, and the objection window

Cancellations and refunds are governed by the Lahtha Refund & Cancellation Policy, which forms an integral part of these Terms.

10. Changes to a paid event

After payment, changes to the date, location, or booked capacity require the written agreement of every affected Vendor and are processed by Lahtha support. We will coordinate the request, and where a Vendor cannot accommodate the change, the affected booking is treated under the Refund & Cancellation Policy. Reductions in guest count after payment do not entitle you to a partial refund, as Vendors commit resources upon confirmation. Additional capacity or services are arranged as new bookings. Under no circumstances may paid bookings be amended, whether as to capacity, date, or location, except with the prior written consent of the Vendor.

For venue bookings made against a minimum guarantee, an increase in guest count up to the final count due date shown in the booking is processed as an amendment to the same booking, with the price difference collected through the Platform, rather than as a new booking. Attendance exceeding the confirmed final count bears the additional per-person charge disclosed on the venue’s listing, collected through the Platform after the event.

11. Your conduct, content, and reviews

Upon using the Platform, the User agrees to the following:

11.1 To use the Platform in a lawful and proper manner.

11.2 To refrain from publishing any content that is unlawful, misleading, defamatory, or infringing upon rights protected under the laws in force in the Kingdom of Saudi Arabia.

11.3 To refrain from writing reviews that do not reflect the actual booking experience, and in all cases to refrain from any form of abuse directed at the Lahtha platform, the Vendor, or any third party when submitting reviews and ratings. Breach of this clause may expose the User to statutory and judicial liability.

11.4 The User grants Lahtha permission to use reviews and ratings for marketing, advertising, and other commercial purposes, and agrees that such reviews and ratings shall be publicly available on the Platform without any claim against Lahtha for financial or other consideration.

11.5 The User acknowledges and agrees that Lahtha is entitled to delete any review or rating that breaches the controls set out in this Clause.

11.6 The User acknowledges that Lahtha is entitled to suspend the account of any User who breaches the controls set out in this Clause.

11.7 The User undertakes not to conclude or settle, outside the Platform, any booking that was initiated through the Platform, and not to deal outside the Platform with a Vendor introduced through the Platform in respect of the same event, for a period of twelve (12) months from the date of introduction, where the purpose is to avoid the Platform’s fees or protections. Any such conduct shall be deemed a breach of these Terms, and the User shall bear the legal liability arising therefrom. This undertaking does not restrict the User’s freedom to deal with any Vendor in respect of unrelated matters or in respect of a relationship that predates the User’s use of the Platform.

12. Dana: AI assistant disclosure

Dana is an artificial-intelligence planning assistant, and is always disclosed as such. Dana’s suggestions are informational aids, not professional advice, and may occasionally be inaccurate; booking decisions remain yours. Conversations with Dana are processed as described in the Privacy Policy. Dana does not conclude contracts on your behalf: only your own payment action creates bookings.

13. Intellectual property

13.1 The User acknowledges that the Platform, its software, designs, and trademarks (including “Lahtha” and “لحظة” and their logos) and the content created by Lahtha are owned by or licensed to Manthomat Lahtha Company.

13.2 The User acknowledges that it is granted only a limited, revocable (by Lahtha), and non-transferable licence to use the applications and the website for personal, non-commercial event planning purposes.

13.3 The User acknowledges that the Vendors’ content on the Platform is their responsibility and their property.

14. Liability

14.1 The User acknowledges that Lahtha’s liability is limited to managing bookings and conveying them from the Customer to the Vendor, and to disbursing or refunding amounts in accordance with the Refund & Cancellation Policy.

14.2 The User acknowledges that Lahtha does not bear liability for the acts of Customers or Vendors, without prejudice to Lahtha’s own obligations to hold, disburse, and refund amounts under the Refund & Cancellation Policy.

14.3 The User acknowledges that Lahtha does not bear liability for direct, indirect, or consequential losses arising from the acts of Customers or Vendors, or arising from events of force majeure.

14.4 The User acknowledges that it is solely liable for its own acts and conduct that cause loss or damage to the other party, to third parties, or to the Lahtha platform, including abuse and defamation and other material acts.

14.5 The User acknowledges that Lahtha is entitled to close its account and remove it from the Platform upon breach of the Platform’s policies.

15. Side agreements, deposits, and continuity of protection

Lahtha’s payment protection and dispute process remain in effect for every Platform booking from payment until the end of the three (3) business day objection window following completion; they are not terminated or reduced by any document you sign directly with a Vendor.

Vendors may apply supplementary terms customary to their service (for example venue house rules, refundable damage deposits, or permit conditions) only where these are disclosed in the listing or booking summary before payment; where a supplementary term conflicts with these Terms or the Refund & Cancellation Policy, these Terms prevail for Platform bookings.

Damage or security deposits are arranged directly between you and the Vendor, must be disclosed in advance with their refund conditions, and Lahtha is not a party to them. Any booking that fails due to a Platform or payment-processing error is refunded in full.

For venue bookings, the venue’s disclosed operational terms (house rules, signage, security, storage, outside-contractor approval, and food and beverage restrictions) govern conduct on the premises, while payment, refunds, cancellation consequences, and disputes remain governed exclusively by these Terms and the Refund & Cancellation Policy.

16. Suspension and termination

The Customer may close the account at any time through the App; accounts with an active paid event must first resolve that event through support. This Clause applies to Customers only; the closure of a Vendor account is governed by the Vendor Agreement. We may suspend or terminate access for material breach, fraud, unlawful activity, or risk to other users, with notice where practicable. Provisions concerning payments already made, liability, intellectual property, and disputes survive termination.

17. Governing law and disputes

These Terms are governed by the laws of the Kingdom of Saudi Arabia. We encourage you to contact Lahtha support first, as most matters are resolved through our internal resolution process. Disputes not resolved amicably are subject to the competent courts or committees of the Kingdom of Saudi Arabia, and the competent courts and judicial committees in the city of Riyadh shall have jurisdiction.

18. Changes to these Terms and contact details

We may update these Terms; material changes will be notified in-app or through the contact details registered on your account, with the effective date shown above. Continued use after the effective date constitutes acceptance.

Contact details: Manthomat Lahtha Company, Commercial Registration No. 7054367821, Building 3321, Abi Jafar Al Mansur Street, Al Yarmuk District, Riyadh 13251, Kingdom of Saudi Arabia (national short address RFYA3321, secondary number 7394). Email: ksa@lahtha.com. Website: lahtha.com.

These Terms are issued in Arabic and English, and both texts have equal legal validity. In the event of any conflict or difference in interpretation between the two texts, the Arabic text shall prevail.

19. General provisions

19.1 The Platform is provided on an “as available” basis, and we may modify, suspend, or discontinue features, with notice where the change is material to active bookings.

19.2 You agree to indemnify Lahtha against third-party claims arising from your breach of these Terms or your unlawful use of the Platform.

19.3 Lahtha may assign these Terms to an affiliate or in connection with a financing, merger, or sale; you may not assign them.

19.4 If any provision is held unenforceable, the remainder continues in effect, and a failure to enforce is not a waiver.

19.5 These Terms together with the Privacy Policy and the Refund & Cancellation Policy constitute the entire agreement.

19.6 Lahtha’s records of transactions, notifications, and communications are determinative absent manifest error.

19.7 Every notice, alert, or message sent to the User through the account, the application, or the registered mobile number or email address shall constitute a valid notice producing all its legal effects from the date of despatch. Notices to Lahtha shall be sent to ksa@lahtha.com.

19.8 The User acknowledges that its electronic acceptance of these Terms, and the electronic records maintained by Lahtha of that acceptance (including date, time, and account identifier), constitute valid and binding evidence of consent in accordance with the E-Commerce Law and the Electronic Transactions Law.

19.9 Lahtha shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond its reasonable control, provided that amounts held on the Customer’s behalf for services not delivered shall be refunded in accordance with the Refund & Cancellation Policy.

19.10 These Terms do not confer any right on any person who is not a party to them, save as expressly provided.

19.11 The rights and remedies provided under these Terms are cumulative and do not exclude any right or remedy available at law. Any delay or omission in exercising a right shall not be construed as a waiver of it.

19.12 Headings are inserted for convenience of reference only and do not affect the interpretation of these Terms.

19.13 The calendar adopted for the purposes of these Terms is the Gregorian calendar, and “business days” means the days from Sunday to Thursday of each week, excluding official public holidays in the Kingdom.

19.14 “User” for the purposes of these Terms means any person who uses the Platform, whether a Customer or a Vendor, to the extent not inconsistent with the other policies.
